The R.C. Bush Pilots was started in the Fall of 1981 solely for the purpose of those who enjoy the recreation sport of operating Radio Controlled (RC) models. The club called several sites home until finally settling in to its current location about 10 years ago. The field was at one time located on another hill atop the Dyer landfill, farther north from the one we now fly from. The current site is named in recognition of a former president, Phil Wherry, now deceased. The R.C. Bush Pilots has grown consistently over the years. With membership now at about 130, it is one of the largest clubs in Florida. With land as scarce as it is in our area, we are careful to maintain a healthy relationship with our land-lease partner, Palm Beach County.

R.C. BUSH PILOTS OF PALM BEACH COUNTY, INC.
BY-LAWS
(As Amended May 18, 1994)

ARTICLE I
Name, Location and Incorporation

    Section 1

The name of the organization shall be R.C. Bush Pilots of Palm Beach County, Inc., and shall hereafter be referred to and designated “Club”.

    Section 2

The principle address of the Club shall be designated by the club Secretary.

    Section 3

The Club is a non-profit organization (corporation) organized under the Florida Non-Profit Corporation regulations.

 

ARTICLE II
Purpose

Subject to the limitations set forth in the Articles of Incorporation, the primary objective of the Club is to promote and foster educational and technical advancement in model aeronautics, to give recognition to model leadership, and to provide guidance and direction of model aeronautic affairs by those individuals, who through their accomplishments in the model field, have demonstrated their qualifications for such responsibilities.
More specific purposes are listed below, but shall not be considered all inclusive.

     a)

To encourage, through recognition, leadership in all phases of model building and activities.

     b)

To keep modelers informed through publication of new bulletins.

     c)

To encourage the contribution of articles covering model developments for the Club bulletins.

     d)

To solicit interested organizations and individuals for group support of education and development needs related to model aeronautics, etc.

     e)

To guide and direct model activities as required to best service the members and Club and the general hobby of modeling.

     f)

To establish and maintain official records and contests in accordance with the Academy of Model Aeronautics (AMA).

     g)

To promote recognition in the Palm Beaches and surrounding areas of all officially sanctioned competition and records which are conducted by AMA contest directors.

     h)

To have as its guiding principle “Of, By, and For the Model Builders of All Ages”.

 

ARTICLE III
Membership

    Section 1

Any individual who demonstrates an interest in the building or flying of model aircraft in the furthering of the Club shall be eligible for membership. The membership shall be divided in accordance with the AMA.

     a)

Junior Members - up to 18 years old inclusive.

     b)

Open Members - 19 years or more of age.

     c)

Honorary Members - those individuals who are given special recognition of contribution to modeling or the Club upon the approval of the membership. Membership benefits shall include free bulletins, and membership card to the term of recommendation by the membership.

    Section 2

The Board of Directors’ determination on eligibility or class of membership shall be conclusive. Upon acceptance for membership, each individual shall agree to accept and abide by the Articles of Incorporation, By-Laws and Field Safety Rules of the Club and to pay such dues as may from time to time be determined by the Board of Directors and approved by the membership. The membership is currently capped at 100 members.

 

ARTICLE IV
Termination and Reinstatement of Membership

Revocation of membership proceedings can be initiated against any member who repeatedly violates the safety rules, regulations and/or By-Laws of either this club or the Academy of Model Aeronautics. The membership of any member may be terminated or reinstated by a 2/3rds majority vote of the attending members. A member under consideration for involuntary termination shall be given at least 30 days notice to show cause why his or her membership should not be terminated. A member’s leader status may be revoked by a 2/3rds majority vote of the Board of Directors.

 

ARTICLE V
Dues

The Board of Directors shall recommend dues for all classes of membership and subject same to a majority vote of the membership. Any member who fails to pay his annual dues within 30 days after they are due and payable shall be dropped from the membership rolls.
Any assessment passed by membership will be due within 90 days.

 

ARTICLE VI
Books and Records

    Section 1

The Club shall keep correct and complete books and records of account and shall keep minutes of the proceedings of its members and committees including the Board of Directors.

    Section 2

A record of the names and addresses of its members entitled to vote shall be kept by the Secretary of the Club.

 

ARTICLE VII
Meetings

    Section 1

The Board of Directors will have an annual meeting to be called, with at least 20 days notice, by the President. The Board may approve additional meetings when it is deemed necessary.

    Section 2

The regular membership meeting shall be held once each month. To conduct an official members meeting, it shall require a quorum of at least 20% of the current membership.

    Section 3

Amendments to these By-Laws or assessments may be made by an affirmative vote of 2/3rds majority of the membership responding (in person, proxy or by mail). Proposed amendments must be made known to the general membership via Club publications, stating the meeting night the vote is to be taken, at least twenty (20) days in advance. In this way, members can plan to be at the meeting if they are interested in the issue at hand.

 

ARTICLE VIII
Nominations and Elections

    Section 1

Officers shall be nominated by a nominating committee appointed by the President. The nominating committee shall operate annually and shall be responsible for nominating the candidates for each office to be vacated at the end of the year.

    Section 2

All officers shall be elected by a ballot vote. Notice of the election of Club officers shall be provided at least thirty days prior to such election. Such notice is to be provided in the Club newsletter. At the same time of such notice, a proxy/absentee ballot form shall also be included within the newsletter. Such proxy ballot shall be serialized and shall be signed by the member and shall name his or her proxy. The absentee portion shall designate the choices for Club officers.

 

ARTICLE IX
Officers

    Section 1

The officers shall consist of the elected President, Vice President, Secretary and Treasurer. The term of office shall begin January 1 following the election.

    Section 2

In the event of death, incapacity, inactivity or resignation of any Club official, the Board of Directors may replace any officer or Director.

    Section 3

The President shall preside at all meetings, and shall, ex-officio, be a member of all regular and special committees. He shall have the authority to dissolve any committees which are not effective, appoint or remove committee chairpersons, and make final and binding decisions relative to disputes and protest.

    Section 4

The Treasurer shall monitor the financial affairs of the Club and shall have the assistance of the Secretary and/or Vice-President.

    Section 5

The President, as the representative, shall be empowered to accept funds, make disbursements subject to a one hundred dollar ($100.00) limit and shall be directly responsible to the Board of Directors for the conduct of the Club business. The Treasurer shall be responsible for submitting reports on the financial condition of the Club. The Secretary shall be responsible for maintaining minutes of meetings and related records. Club officers will work with the Club Newsletter Editor.

    Section 6

The duly elected President and Vice-President shall not be active officers of any other model airplane club.

 

ARTICLE X
Board of Directors

    Section 1

The management of the Club shall be vested in a Board of Directors consisting of elected club officers and other appointed officials.

    Section 2

The Board of Directors shall be composed of the President, Vice-President, Secretary, Treasurer, and three (3) Directors-at-Large.

    Section 3

The Board of Directors shall have the authority to supervise the affairs of the Club, subject to the approval of the membership.

    Section 4

Official decisions may be made by a 2/3rds majority mail vote or by a quorum at a Board meeting. The quorum shall consist of at least fifty percent (50%) of the current Board members.

    Section 5

Decisions of policy shall not be at variance with the stated purposes and objectives of these By-Laws or Articles of Incorporation.

 

ARTICLE XI Field Safety Board
Purpose

It shall be the purpose of this Board to provide a means of enforcing Field Safety Rules, to provide for violation review by a Field Safety Board, and most of all, to require and promote safe flying practices by all Club members.

It shall not be the purpose of this Board to unfairly or unreasonably restrict the pursuit of model flying activities of any club member. The field rules will comply with AMA guidelines and club safety requirements.

ARTICLE XII
Competition Jurisdiction

    Section 1

The Field Safety Officers shall be ex-officio members of the Board.

    Section 2

Rules should follow AMA (Academy of Model Aeronautics) rules as closely as possible and may be modified for internal competition.

 

ARTICLE XIII
Newsletter

There shall be an official publication of the Club to be published regularly. The role of this publication shall generally be to serve as a vehicle to accomplish the purposes of the Club. It may offer information of general interest to the membership and shall be a means by which official information is distributed to the membership. The official publication shall be prepared and distributed by/under the supervision of the Secretary and Newsletter Editor.

ARTICLE XIV
Order of Business

The order of business for each Board of Directors meeting shall be determined by the President who shall be the Chairman of the meeting.
